Commercial License Agreement

Perpetual — no subscription, no expiration.
Per-company — one purchase covers your entire team.
Worldwide — use in any country, on any platform.
1) License Grant
This Commercial License Agreement ('Agreement') is entered into between Light Side LLC ('Licensor'), registered in Georgia, Tbilisi, and the purchasing individual or legal entity ('Licensee').

Upon payment of the applicable license fee, the Licensor grants the Licensee a perpetual, non-exclusive, non-transferable, worldwide license to use the licensed software ('Software') for commercial purposes, subject to the terms of this Agreement.

Software Description: The Software covered by this Agreement is identified at the time of purchase (e.g., UniText — a text rendering and shaping engine for Unity). The specific product name, version, and description are included in the purchase confirmation.

Territory: This license is valid worldwide, in all countries and jurisdictions.

Term: This license is perpetual and does not expire, subject to compliance with the terms of this Agreement.
2) Scope of License
This license covers the Software product identified at the time of purchase and all versions released during the lifetime of the license.

Per-Company Model: For licenses purchased directly from Light Side LLC, one license covers all employees, contractors, and agents of the Licensee's legal entity. There is no per-seat limitation. This includes use on CI/CD servers, build machines, and automated pipelines operated by or on behalf of the Licensee.

Per-Seat Model: For licenses purchased through the Unity Asset Store, each seat requires a separate license, per Unity's terms. Build servers and CI/CD machines used solely for automated builds are excluded from the seat count.
3) License Tiers & Revenue Compliance
Commercial licenses are offered in the following tiers based on the Licensee's Revenue:

Indie — Revenue up to $100,000 USD per year
Studio — Revenue between $100,000 and $1,000,000 USD per year
Enterprise — Revenue exceeding $1,000,000 USD per year

Definition of Revenue: 'Revenue' means all gross income or funds raised by the Licensee's legal entity in the last twelve (12) calendar months, from any source, including but not limited to digital or physical product sales, services, contracts, grants, crowdfunding, investment funding, or other activities, whether or not related to the Software.

Self-Certification: By purchasing a license, the Licensee certifies that the selected tier accurately reflects their Revenue. The Licensee must keep records sufficient to verify compliance with the applicable tier.

Audit Rights: On the Licensor's written request, the Licensee must certify in writing within 30 days that their use of the license is in full compliance with the applicable tier. If a review reveals that the Licensee's Revenue exceeds the tier threshold, the Licensee must purchase an upgrade to the appropriate tier within 30 days.

Revenue Changes: If the Licensee's Revenue exceeds their current tier threshold at any point, the Licensee must upgrade before shipping any new commercial product. Existing shipped products may continue to be sold under the tier at which they were originally shipped.
4) Rights Granted
The Licensee may:

• Use the Software in an unlimited number of projects
• Ship, distribute, and sell products that incorporate the Software
• Modify the Software source code for internal use and for inclusion in shipped products
• Use the Software on all supported platforms (Windows, macOS, Linux, Android, iOS, WebGL)
• Use the Software for the lifetime of the license without recurring fees
• Access and use all future updates and versions of the Software released after purchase
• Include the Software in products distributed to end users (the end users do not need a separate license to use those products)
5) Restrictions
The Licensee may not:

• Sublicense, sell, rent, lease, or transfer the license to any third party
• Redistribute the Software source code or compiled binaries as a standalone product or library
• Use, reverse engineer, or implement the Software, in part or in full, in a Competing Product
• Share, publish, or make available the Software in a way that enables unlicensed commercial use by third parties
• Remove or alter copyright notices, license headers, or attribution in the Software
• Misrepresent the Licensee's Revenue to obtain a lower-tier license

Definition of Competing Product: A 'Competing Product' means a text rendering engine, text shaping library, font rendering library, or any product whose primary purpose is substantially similar to the Software.

Exclusions: The restrictions above do not apply to:
• Games, applications, and other end-user products developed with the Software
• Add-ons, tools, extensions, or assets created for the Software (e.g., custom modifiers, themes, plugins)
• Components of the Software that are governed by separate third-party open-source licenses
6) Source Code
The Software source code is publicly available on GitHub under the PolyForm Noncommercial License 1.0.0. This Commercial License grants the Licensee the right to use the source code for commercial purposes, superseding the non-commercial restriction of the PolyForm NC license for the scope of this Agreement.

The Licensee may modify the source code. Modified versions remain subject to this Agreement and may not be distributed separately from the Licensee's products.

The PolyForm NC license continues to govern any use of the Software not covered by this Commercial License.
7) Support & Maintenance
The Licensor provides:

• Community support via Discord and GitHub Issues
• Bug fixes and updates via the Software's GitHub repository
• Documentation at the Software's official website

Support response times are not guaranteed. Enterprise Licensees may negotiate separate support agreements, including priority support, SLAs, and custom terms, by contacting [email protected].
8) Warranty & Liability
THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SOFTWARE.

The Licensor's total aggregate liability shall not exceed the amount paid by the Licensee for the license in the twelve (12) months preceding the claim.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law.
9) Termination
This license is perpetual and does not expire, provided the Licensee complies with the terms of this Agreement.

The Licensor may terminate this license if the Licensee materially breaches this Agreement and fails to cure the breach within 30 days of written notice. Upon termination, the Licensee must cease commercial use of the Software.

Sections 5 (Restrictions), 6 (Source Code), and 8 (Warranty & Liability) survive termination.

Governing Law: This Agreement is governed by the laws of Georgia. Disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to the Georgian International Arbitration Centre (GIAC) under its rules, or to the competent courts of Tbilisi, Georgia. EU/UK consumers retain the right to bring proceedings in the courts of their country of residence.
